2. Description of Services

TJR Entertainment LLC, operating through the TJR Show brand, provides a range of entertainment technology and live production services. Our service offerings are designed for professional clients including event promoters, venue operators, broadcast studios, artist management teams, corporate event planners, and other commercial entities requiring premium production infrastructure and technical expertise.

2.1 Core Service Categories

Our services encompass the following categories, each of which may be further detailed in a separate statement of work, service agreement, or production contract executed between TJR Entertainment LLC and the client:

• Live Event Production — Complete production management for concerts, festivals, corporate keynotes, award ceremonies, and broadcast specials. Includes front-of-house engineering, multi-camera direction, IMAG systems, and show calling.
• Stage and Lighting Design — Custom stage builds, intelligent lighting rigs, DMX programming, LED wall configuration, atmospheric effects, and venue transformation design.
• Broadcast and Streaming Systems — Professional broadcast infrastructure including video routing, encoding pipelines, NDI workflows, SRT streaming, satellite uplink coordination, and redundant signal path engineering for mission-critical live broadcasts.
• Audio Engineering and Acoustics — System design, room tuning, line array deployment, in-ear monitor rigs, Dante networking, and comprehensive acoustics analysis for venues of any scale.
• Content and Media Production — Show content creation including motion graphics, playback programming, real-time generative visuals, and post-production editing for broadcast deliverables.
• Production Systems Integration — Permanent and temporary venue technology integration, control room builds, signal distribution infrastructure, rack fabrication, and technical documentation for venue operations teams.

2.2 Service-Specific Agreements

Each engagement for live event production, broadcast engineering, stage design, or any other professional service provided by TJR Entertainment LLC may be governed by a separate, individualized service agreement or statement of work executed between the parties. Where such an agreement exists, its terms shall supplement these Terms of Service. In the event of any conflict between these general Terms of Service and a specific service agreement, the terms of the specific service agreement shall prevail with respect to the subject matter of that agreement.

2.3 Consultation and Inquiries

Submitting a production inquiry through our website, by email at assist@tjrshow.buzz, or by phone at +1 (229) 701-6479 does not create a binding obligation for TJR Entertainment LLC to provide services. All service engagements require a mutually executed written agreement or an explicit acceptance of a proposal by an authorized representative of TJR Entertainment LLC. We reserve the right to decline any inquiry or project at our sole discretion, without obligation to provide a reason.

4.2 Service Deliverables

Unless otherwise agreed in a written service agreement, TJR Entertainment LLC retains all intellectual property rights in the methodologies, techniques, processes, tools, templates, software configurations, and technical designs used to deliver our services. Upon full payment of all fees due, clients receive a non-exclusive, perpetual license to use the specific deliverables created for their production or event for the purposes for which they were commissioned. This license does not include the right to resell, sublicense, or commercially exploit our deliverables as standalone products or services.

4.3 Client Materials

You retain all intellectual property rights in any materials, content, or information that you provide to us for use in connection with our services, including creative assets, brand materials, audio or video content, and technical specifications. By providing such materials, you grant TJR Entertainment LLC a limited, non-exclusive, royalty-free license to use, reproduce, and modify those materials solely as necessary to perform the agreed-upon services for your benefit.

4.4 Trademarks

The TJR Show name, the tjrshow.buzz domain, and all related names, logos, product and service names, designs, and slogans are trademarks of TJR Entertainment LLC or its affiliates. You must not use such marks without the prior written permission of TJR Entertainment LLC. All other names, logos, product and service names, designs, and slogans that appear on this website are the trademarks of their respective owners.

5. Client Obligations

To enable TJR Entertainment LLC to perform the agreed-upon services effectively and safely, clients and website users have certain obligations and responsibilities. These are essential to the successful execution of any live production, broadcast, or installation project.

5.1 Accurate Information

You agree to provide accurate, complete, and timely information regarding your event, venue, technical requirements, production timeline, and any other details reasonably necessary for us to assess, plan, and execute the requested services. We rely on the information you provide to design safe and effective production solutions; inaccurate or incomplete information may result in delays, additional costs, or safety risks for which TJR Entertainment LLC assumes no liability.

5.2 Venue Access and Safety

For on-site production services, you are responsible for securing all necessary venue access permissions, permits, licenses, and insurance as required by the venue and applicable authorities. You must ensure that the physical environment where our services will be performed is safe, accessible, and equipped with adequate power, rigging points, and environmental controls as specified in the service agreement or technical rider. TJR Entertainment LLC reserves the right to suspend or decline to perform services at any location that our team reasonably determines to present safety hazards or operational impediments.

5.3 Payment Obligations

You agree to pay all fees, charges, and expenses associated with the services you engage in accordance with the payment terms set forth in the applicable service agreement, statement of work, or invoice. Unless otherwise specified, payment terms are net 30 days from the invoice date. Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. You are responsible for any costs incurred by TJR Entertainment LLC in collecting overdue amounts, including reasonable attorneys' fees and collection agency costs.

5.4 Cooperation

You agree to cooperate reasonably with TJR Entertainment LLC in all matters relating to the performance of services, including designating a primary point of contact with decision-making authority, providing timely feedback on deliverables, attending scheduled production meetings, and facilitating communication with third-party vendors or venue staff as needed. Delays caused by your failure to cooperate or provide necessary information may result in schedule adjustments and additional charges.

6. Confidentiality

Confidentiality is a cornerstone of the relationships we build with our clients. During the course of our engagement, both TJR Entertainment LLC and the client may disclose or receive information that is proprietary, sensitive, or otherwise confidential in nature.

6.1 Definition of Confidential Information

Confidential Information means any information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This includes, without limitation, technical specifications, production designs, show concepts, creative treatments, financial information, business plans, client lists, vendor relationships, pricing structures, security protocols, and any non-public information about the business operations of either party.

6.2 Obligations of Confidentiality

Each party agrees to hold the other party's Confidential Information in strict confidence, to use such information only for the purposes of performing obligations or exercising rights under the applicable service agreement, and not to disclose such information to any third party without the disclosing party's prior written consent. Each party shall use at least the same degree of care to protect the other party's Confidential Information as it uses to protect its own confidential information of like nature, but in no event less than a reasonable standard of care.

6.3 Exceptions

The obligations of confidentiality set forth herein shall not apply to information that: is or becomes publicly available through no fault of the receiving party; was lawfully in the receiving party's possession prior to disclosure by the disclosing party; is lawfully disclosed to the receiving party by a third party without restriction on disclosure; is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or is required to be disclosed by law, regulation, or court order, provided that the receiving party gives the disclosing party prompt notice of such requirement and cooperates with any efforts to limit or prevent the disclosure.

6.4 Term and Survival

These confidentiality obligations shall remain in effect for the duration of the parties' business relationship and shall survive termination or expiration of any service agreement for a period of three years thereafter. For trade secrets, the obligations shall continue for as long as the information remains a trade secret under applicable law.

7. Disclaimer of Warranties

TJR Entertainment LLC makes no warranty that the website or services will meet your requirements, that the website will be available on an uninterrupted, timely, secure, or error-free basis, that the results that may be obtained from the use of the website or services will be accurate or reliable, or that any errors in the website or services will be corrected. No advice or information, whether oral or written, obtained by you from TJR Entertainment LLC or through the website or services shall create any warranty not expressly stated in these terms.

We do not warrant or guarantee the quality, suitability, safety, or performance of any third-party equipment, software, or services that may be recommended, specified, or integrated as part of our production solutions. Any reliance you place on such third-party products is strictly at your own risk, and you are encouraged to review the warranties and terms provided directly by the manufacturers or providers of those products.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above disclaimers and limitations may not apply to you. In such jurisdictions, the liability of TJR Entertainment LLC shall be limited to the greatest extent permitted by applicable law.

8. Limitation of Liability

The aggregate liability of TJR Entertainment LLC for all claims arising out of or relating to these Terms of Service, the website, or our services, whether in contract, tort, or otherwise, shall not exceed the greater of the total amount paid by you, if any, to TJR Entertainment LLC for the specific services giving rise to the claim during the twelve-month period preceding the event giving rise to the claim, or one hundred United States dollars (USD $100.00). The existence of more than one claim shall not enlarge this limit.

These limitations of liability reflect the allocation of risk between the parties and form an essential basis of the bargain between you and TJR Entertainment LLC. The limitations specified in this section shall survive and apply even if any limited remedy specified in these terms is found to have failed of its essential purpose. You acknowledge and agree that the limitations set forth in this section are fundamental elements of this agreement and that TJR Entertainment LLC would not be able to provide the website or services on an economically reasonable basis without such limitations.

9. Indemnification

You agree to defend, indemnify, and hold harmless TJR Entertainment LLC, its members, directors, officers, employees, affiliates, agents, contractors, licensors, and successors and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses, including without limitation reasonable attorneys' fees and court costs, arising from or related to: your use of and access to the TJR Show website; your violation of any term of these Terms of Service; your violation of any third-party right, including without limitation any intellectual property right, privacy right, or publicity right; any claim that content or materials you provided to TJR Entertainment LLC caused damage to a third party; or any negligent, reckless, or intentionally wrongful act committed by you or your agents in connection with our services or your event.

This indemnification obligation shall survive the termination or expiration of these Terms of Service and your use of the website and services. TJR Entertainment LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully with TJR Entertainment LLC in asserting any available defenses. You shall not settle any matter subject to indemnification without the prior written consent of TJR Entertainment LLC, which consent shall not be unreasonably withheld or delayed.

10. Governing Law and Jurisdiction

These Terms of Service, and any dispute or claim arising out of or in connection with them or their subject matter or formation, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the State of Utah, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these terms or any transaction contemplated hereunder.

Any legal suit, action, or proceeding arising out of or related to these Terms of Service or the services provided by TJR Entertainment LLC shall be instituted exclusively in the federal courts of the United States located in the District of Utah or the state courts located in Summit County, Utah. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. You agree that any claim or cause of action arising out of or related to these terms or our services must be filed within one year after such claim or cause of action arose; otherwise, such claim or cause of action is permanently barred.

Notwithstanding the foregoing, TJR Entertainment LLC may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or other proprietary interests. You agree that any violation of the intellectual property or confidentiality provisions of these terms would cause irreparable harm to TJR Entertainment LLC for which monetary damages would be inadequate, and you consent to injunctive relief without the requirement of posting a bond.

11. General Provisions

The following general provisions apply to these Terms of Service and form an integral part of this agreement between you and TJR Entertainment LLC. Please read each provision carefully as they address important legal and procedural matters.

11.1 Entire Agreement

These Terms of Service, together with any service-specific agreements, statements of work, or production contracts executed between the parties, constitute the entire agreement between you and TJR Entertainment LLC with respect to the subject matter hereof, and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to such subject matter. No course of dealing, course of performance, or usage of trade shall modify or supplement these terms.

11.2 Severability

If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these terms shall continue in full force and effect. The invalidity of any provision shall not affect the validity or enforceability of any other provision of these terms, all of which shall remain in full force and effect.

11.3 Waiver

No waiver by TJR Entertainment LLC of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of TJR Entertainment LLC to assert a right or provision under these terms shall not constitute a waiver of such right or provision. A waiver of any breach or default under these terms shall not be deemed a waiver of any subsequent breach or default. To be effective, any waiver must be in writing and signed by an authorized representative of TJR Entertainment LLC.

11.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms of Service without the prior written consent of TJR Entertainment LLC, which consent may be granted or withheld in our sole discretion. Any attempted assignment or transfer in violation of this provision shall be null and void. TJR Entertainment LLC may freely assign or transfer its rights and obligations under these terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

11.5 Relationship of the Parties

Nothing in these Terms of Service shall be construed to create a partnership, joint venture, employment, franchise, or agency relationship between you and TJR Entertainment LLC. Neither party has the authority to bind the other or incur obligations on the other party's behalf without the other party's prior written consent. TJR Entertainment LLC performs its services as an independent contractor, and all personnel provided by TJR Entertainment LLC shall remain under our direction and control.

11.6 Force Majeure

Neither party shall be liable or deemed to be in default for any delay or failure in performance under these Terms of Service resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, severe weather events, fire, flood, earthquake, epidemic or pandemic, war, terrorism, civil unrest, government orders or regulations, labor disputes, power or telecommunications failures, or failures of suppliers or subcontractors. The party affected by such force majeure event shall notify the other party promptly and use reasonable efforts to resume performance as soon as practicable.

All notices, requests, consents, claims, demands, waivers, and other communications under these Terms of Service must be in writing and addressed to the receiving party at the address set forth below or to such other address as either party may designate in writing from time to time. These Terms of Service are for the sole benefit of the parties hereto and their permitted successors and assigns, and nothing herein, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these terms.

11.9 Headings and Interpretation

The headings and section titles in these Terms of Service are for convenience only and shall not affect the construction or interpretation of any provision. The language of these terms shall be construed according to its fair meaning and not strictly for or against either party. References to including shall mean including without limitation. Unless the context otherwise requires, words in the singular include the plural and vice versa, and words importing gender include all genders.

The provisions of these Terms of Service that by their nature are intended to survive termination or expiration, including without limitation the sections on Intellectual Property Rights, Confidentiality, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law, shall survive any termination or expiration of these terms or your relationship with TJR Entertainment LLC.
